Common use of Annual Certificate of Compliance Clause in Contracts

Annual Certificate of Compliance. The Trust shall deliver to the Trustee, within 120 days after the end of each calendar year, an Officers' Certificate as to the knowledge of such officers of PEOC who executes the Officers' Certificate of the Trust's compliance with all conditions and covenants in this Indenture certifying that after reasonable investigation and inquiry, the Trust has complied with all covenants, conditions or other requirements contained in this Indenture, the non-compliance with which could, with the giving of notice, lapse of time or otherwise, constitute an Event of Default hereunder, or if such is not the case, setting forth with reasonable particulars the circumstances of any failure to comply and steps taken or proposed to be taken to eliminate such circumstances and remedy such Event of Default, as the case may be.
