Annual Certification; Additional Information. (a) The Servicer shall and shall cause any Servicing Function Participant engaged by it to, provide to the Person who signs the Xxxxxxxx-Xxxxx Certification (the “Certifying Person”), by March 15 of each year in which the Trust is subject to the reporting requirements of the Exchange Act a certification (each, a “Back-Up Certification”), in the form attached hereto as Exhibit C, upon which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. The officer of the Master Servicer in charge of the master servicing function shall serve as the Certifying Person on behalf of the Trust. In the event the Servicer or any Servicing Function Participant engaged by it is terminated or resigns pursuant to the terms of this Agreement, or any applicable Sub-Servicing agreement, as the case may be, such party shall provide a Back-Up Certification to the Certifying Person pursuant to this Section 3.19 with respect to the period of time it was subject to this Agreement or any applicable Sub-Servicing Agreement, as the case may be.

Annual Certification; Additional Information. (a) If requested by the Master Servicer or the Depositor, the Servicer shall deliver no later than March 1st of each year in which the Trust is required to file an execute and Annual Report on Form 10-K, to the Master Servicer, the Depositor and any other Person that will be responsible for signing the Master Servicer Certification, a certification in the form attached hereto as Exhibit [__] signed by the appropriate officer of the Servicer. The Servicer acknowledges that the Master Servicer, the Depositor and any other Person that will be responsible for signing a Master Servicer Certification may rely on the certification provided by the Servicer in signing a Master Servicer Certification and filing such with the Commission. Such certification shall be signed by the senior officer in charge of servicing of the Servicer.

By executing this Subscription Agreement, the Subscriber is deemed to be consenting to the foregoing collection, use and disclosure of the Subscriber's personal information (and, if applicable, the personal information of those on whose behalf the Subscriber is contracting hereunder) and to the retention of such personal information for as long as permitted or required by law or business practice. Notwithstanding that the Subscriber may be purchasing Shares as agent on behalf of an undisclosed principal, the Subscriber agrees to provide, on request, particulars as to the identity of such undisclosed principal as may be required by the Company in order to comply with the foregoing.
