Common use of Annual Collateral Verification Clause in Contracts

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax shall deliver to Agent a certificate from an Authorized Officer (i) either confirming that there has been no change in the information disclosed in the Schedules to the Pledge and Security Agreement since the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes (ii) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction), have been filed of record in each governmental, municipal, foreign or other appropriate office in each jurisdiction identified pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax Borrowers shall deliver to Administrative Agent a certificate from an Authorized Officer Officer’s Certificate (ia) either confirming that there has been no change in such information since the information disclosed in date of the Schedules to the Pledge and Security Agreement since Perfection Certificate delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section 5.1(n) and/or identifying such changes changes, or (iib) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Perfection Certificate or pursuant to clause (ia) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 eighteen (18) months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax shall deliver to Agent a an officer’s certificate from an Authorized Officer (i) either confirming that there has been no change in the information disclosed in the Schedules to the Pledge and Security Agreement change, since the Closing date of the Perfection Certificate delivered on the Effective Date or the date of the most recent certificate delivered pursuant to this Section Section, in the information set forth in such certificate and/or identifying such changes changes, or (ii) certifying that all UCC financing statements (including fixtures fixture filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Perfection Certificate or pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax the Credit Parties shall deliver to Collateral Agent a certificate from an Authorized Officer Officer’s Certificate (i) either confirming that there has been no change in the such information disclosed in the Schedules to the Pledge and Security Agreement since the Closing date of the Collateral Questionnaire delivered on the Restatement Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes changes, or (ii) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Collateral Questionnaire or pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Confidential treatment has been requested with respect to the omitted portions.

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c5.1(b), Euramax Company shall deliver to Agent Collateral Trustee, with a certificate from copy to Administrative Agent, an Authorized Officer Officer’s Certificate (i) either confirming that there has been no change in the information disclosed contained in the Schedules to this Agreement or in the Pledge and Security Agreement Collateral Documents since the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes (ii) certifying that all UCC Uniform Commercial Code financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c)) and on the date hereof, Euramax Company shall deliver to Collateral Agent a certificate from an of its Authorized Officer Officer (i) either confirming that there has been no change in the such information disclosed in the Schedules to the Pledge and Security Agreement since the Closing date of the Collateral Questionnaire delivered on the Effective Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes and (ii) certifying that all UCC Uniform Commercial Code financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c5.01(b), Euramax the Borrower shall deliver to the Collateral Agent a certificate from of an Authorized Officer (i) either confirming that there has been no material change in such information since the information disclosed in date of the Schedules to the Pledge and Security Agreement since Perfection Certificate delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes and (ii) certifying that all UCC Uniform Commercial Code financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);; and

Each yearyear commencing in 2015, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax Company shall deliver to Agent a certificate from an Authorized Officer Officer’s Certificate either (ia) either confirming that there has been no change in such information since the information disclosed in date of the Schedules to the Pledge and Security Agreement since Perfection Certificate delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section 5.1(o) and/or identifying such changes changes, or (iib) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Perfection Certificate or pursuant to clause (ia) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c)6.1(c) commencing with Fiscal Year 2019, Euramax the Borrower shall deliver to Administrative Agent a certificate from of an Authorized Officer (i) either confirming that there has been no change in the information disclosed regarding the Collateral set forth in the Schedules to the Pledge and Security Agreement since the Closing Date Perfection Certificate or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes changes, or (ii) certifying that all UCC financing statements (including fixtures fixture filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Perfection Certificate or pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(c), Euramax Company Agent shall deliver to Collateral Agent a certificate from signed by an Authorized Officer of each Holding Company (i) either confirming that there has been no change in such information since the information disclosed in date of the Schedules to the Pledge and Security Agreement since Collateral Questionnaire delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes changes, or (ii) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified in the Collateral Questionnaire or pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 eighteen (18) months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);; (p)

Each year, at At the time of delivery of annual financial statements with respect pursuant to Sections 5.1(b), if Collateral consists of any property other than the certificated securities delivered to the preceding Fiscal Year pursuant to Section 5.1(c)Administrative Agent on the Closing Date, Euramax Company shall deliver to Administrative Agent a certificate from an Authorized Officer Officer’s Certificate (i) either confirming that there has been no change in such information since the information disclosed in the Schedules to the Pledge and Security Agreement since Perfection Certificate was delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes changes, (ii) certifying that all UCC financing statements (including fixtures filings, as applicable) or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified pursuant to clause (i) above to the extent necessary to protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);; and

Each yearBeginning in 2008, at on June 30 of each year (or, if not a Business Day, the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 5.1(cnext succeeding Business Day), Euramax Borrower shall deliver to Collateral Agent a certificate from an of its Authorized Officer (i) either confirming that there has been no change in such information since the information disclosed in the Schedules to the Pledge and Security Agreement since the Closing Date or the date of the most recent certificate delivered pursuant to this Section and/or identifying such changes and (ii) certifying that all UCC Uniform Commercial Code financing statements (including fixtures filings, as applicable) and all supplemental intellectual property security agreements or other appropriate filings, recordings or registrations (or equivalent thereof in any foreign jurisdiction)registrations, have been filed of record in each governmental, municipal, foreign municipal or other appropriate office in each jurisdiction identified pursuant to clause (i) above (or in such Collateral Questionnaire) to the extent necessary to effect, protect and perfect the security interests under the Collateral Documents for a period of not less than 18 months after the date of such certificate (except as noted therein with respect to any continuation statements to be filed within such period);

Annual Collateral Verification.
