ANNUAL FOREIGN OPINION. If the Aircraft has been registered in ---------------------- a country other than the United States pursuant to Section 4.02(b), Lessee will furnish to Owner Trustee, Indenture Trustee and each Participant annually after such registration is effected, an opinion of special counsel reasonably satisfactory to Owner Participant and Indenture Trustee stating that, in the opinion of such counsel, either that (i) such action has been taken with respect to the recording, filing, rerecording and refiling of the Operative Agreements and any supplements and amendments thereof as is necessary to establish, perfect and protect Owner Trustee's and Indenture Trustee's respective right, title and interest in and to the Aircraft, the Indenture Estate and the Operative Agreements, reciting the details of such actions, or (ii) no such action is necessary to maintain the perfection of such right, title and interest.
