Common use of Annual Incentive Compensation Clause in Contracts

Annual Incentive Compensation. (a) The Executive shall be eligible to receive annual bonus compensation, if any, as may be determined by, and based on performance measures established by, the Board of Directors upon the recommendation of the Compensation Committee of the Board of Directors (the “Committee”) consistent with the Employer’s strategic planning process and in consultation with the Executive, pursuant to any incentive compensation program as may be adopted from time to time by the Board of Directors, based on recommendations by the Committee (an “Annual Bonus”).

Annual Incentive Compensation. (a) The Executive shall be eligible to receive annual bonus compensation, if any, as may be determined by, and based on performance measures established by, the Board of Directors upon the recommendation of the Compensation Committee of the Board of Directors (the “Committee”) consistent with the Employer’s strategic planning process and in consultation with the Executiveprocess, pursuant to any incentive compensation program as may be adopted from time to time by the Board of Directors, based on recommendations by the Committee (an “Annual Bonus”).

(ai) The Executive shall be eligible to receive such annual bonus incentive compensation, if any, as may be determined by, and based on performance measures established by, the Board board of Directors upon the recommendation directors of the Compensation Committee of the Board of Directors Company (the “Committee”or its designee) consistent with the Employer’s strategic planning process and in consultation with the Executiveplan of Company, pursuant to any incentive compensation program as that may be adopted from time to time by the Board board of Directors, based on recommendations by the Committee directors of Company (an “Annual BonusIncentive Compensation”).

(ai) The Executive Employee shall be eligible to receive annual bonus compensation, if any, compensation as may be determined by, and based on performance measures established by, the Board of Directors (upon recommendation by the recommendation of the Compensation Committee of the Board of Directors (the “Committee”compensation committee) consistent with the Employer’s strategic planning process and in consultation with plan(s) of the Executive, Bank pursuant to any incentive compensation program as that may be adopted from time to time by the Board of Directors, based on recommendations by the Committee Directors (an “Annual Bonus”).
