Annual Inventory. During the Initial Term (as defined in Section 9), and for each succeeding twelve (12) month period thereafter, TDC shall complete a cycle count of one hundred percent (100%) of MANUFACTURER's inventory. Any inventory discrepancies discovered shall be investigated on the day the discrepancy is noted. In addition to ongoing cycle counting, during the Term and each succeeding twelve (12) month period thereafter, TDC's operations shall be suspended for a maximum of one and one-half working days for an annual statistical sample inventory. The parties shall negotiate in good faith the parameters of the annual statistical sample inventory at least thirty (30) days prior to commencement of the sample inventory. TDC shall provide sufficient resources for the annual statistical sample inventory. The cost of the annual statistical sample inventory, excluding MANUFACTURER's direct resource costs, is included within the Base Fees. Prior to a full physical inventory, if one is necessary, the parties shall agree upon a plan to combine resources to ensure that the shutdown period does not exceed two (2) working days. MANUFACTURER shall provide resources, including human resources, as required for reconciling a physical count, if any, to the perpetual inventory records. A full physical inventory, if necessary, may require additional downtime. The cost of a full physical inventory is not included in the Base Fees.

Annual Inventory. All US government-funded property (either Contractor-acquired or US Government- furnished) must be inventoried in accordance with the Government Property Clauses of this contract. The inventory will also form the basis of an equipment disposition plan for the Close- out phase.
Annual Inventory a. Physical inventory shall be taken at the end of June each year to enable WSDA FA to complete its Annual Financial Statement Report. WSDA officials will make arrangements with the Contractor to participate in performing the annual physical count.

The Union may appoint, for the sole purpose of representing employees working on the annual inventory two representatives of the Windsor Assembly Plant who, upon request of their supervisor, will be excused from their regular duties for the purpose of discussing and processing any grievances that may originate during the inventory period. Such grievances will be placed directly with the Labour Relations Department for disposition. All employees may be laid off as their inventory work assignments are completed, with the exception of the appointed Union Representatives referred to above who will be retained in the plant until such time as the taking of the inventory is completed in that plant.
