Annual Net Energy Amount. For each Contract Year, Seller intends to produce and deliver to NorthWestern 76,056 MWh of Energy annually (“ANEA”). The ANEA shall be reduced pro rata to reflect those hours during the Contract Year when Seller was prevented from delivering Energy by: (i) an event of Force Majeure; (ii) a curtailment required by NorthWestern, (iii) curtailments ordered by the Transmission Provider under the GIA; or (iv) a curtailment pursuant to an Emergency Condition on the NorthWestern System or Transmission Provider’s System; provided that in all instances the event or cause of Seller's inability to produce Energy does not arise from an act or omission of Seller. For purposes of determining the actual Energy delivered during a Contract Year, any Compensated Curtailment for the Contract Year shall be included as if it were actual Energy delivered by Seller.
