Annual Officer’s Certificate as to Compliance. Not later than May 1 in each year, commencing May 1, 2002, the Company shall deliver to the Trustee an Officer's Certificate which need not comply with the requirements of Section 105, executed by the principal executive officer, the principal financial officer or the principal accounting officer of the Company, as to such officer's knowledge of the Company's compliance with all conditions and covenants under this Indenture, such compliance to be determined without regard to any period of grace or requirement of notice under this Indenture, and making any other statements as may be required by the Trust Indenture Act.
