Common use of Annual Officer’s Certificate Clause in Contracts

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. (a) On or before July 31st February 28th of each year, beginning with July 31February 28, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller, the Depositor and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st of each year, beginning with July 31, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

(a) On or before July 31st March 15th of each year, beginning with July 31March 15, 20022006, the ServicerSpecial Servicer shall, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Special Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Special Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Special Servicer to remedy such default.

On or before July 31st the last day of February of each year, beginning with July 31February 28, 20022005, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, supervision and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st April 30 of each year, beginning with July 31April 30, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital each Seller (with respect to its related Mortgage Loans) and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital Brothers Bank, FSB and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st (a) Not later than the last day of February of each year, beginning year commencing with July 31, 2002, the year 2004 the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller, the NIMS Insurer, the Trustee, the Depositor and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

(a) On or before July 31st March 15th of each year, beginning with July 31March 15, 20022006, the ServicerServicer shall, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer Servicer, the Depositor and, at its request, the NIMS Insurer, a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations in all material respects under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st the 15th day of March of each year, beginning with July 31March 15, 20022006, the ServicerCompany, at its own expense, will deliver to Xxxxxx Capital the Purchaser and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer Company during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer Company has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer Company to remedy such default.

On or before July 31st April 30 of each year, beginning with July 31April 30, 20021999, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Owner, Directing Holder and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement or similar agreements for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default. At the request of Xxxxxx Capital, the Master Servicer shall deliver such certificate to Xxxxxx Capital within three (3) days of receipt thereof.

Annual Officer’s Certificate. On or before July 31st April 30th of each year, beginning with July 31April 30, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15 of each year, beginning with July 31March 15, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Bank and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' officer's supervision, and (ii) to the best of such officers' officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' , supervision, and (ii) to the best of such officers' , knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Seller, the Master Servicer and the Guarantor a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the last day of February of each year, beginning with July 31February 28, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreements has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreements has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15th of each year, beginning with July 31, 2002in the year 2006, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, supervision and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30th of each year, beginning with July 31April 30, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Lehman Capital and the Master Servicer a Servicing Xxxxxxing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st February 28th of each year, beginning with July 31February 28, 20022007, the Servicer, at its own expense, will deliver to Xxxxxx Capital Lxxxxx Brothers Bank, FSB and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. (a) On or before July 31st February 28th of each year, beginning with July 31February 28, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15th of each year, beginning with July 31March 15, 20022003, the ServicerServicer shall, at its own expense, will deliver to Xxxxxx Capital the Seller, the NIMS Insurer and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the last day of February of each year, beginning with July 31February 28, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital each Seller (with respect to its related Mortgage Loans) and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Lehman Capital and the Master Servicer a Servicing OfficerXxxxxxr's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15 of each year, beginning with July 31March 15, 20022005, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Bank and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' officer's supervision, and (ii) to the best of such officers' officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer Purchaser or its designee a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15 of each year, beginning with July 31March 15, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Bank and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 20021999, the Servicer, at its own expense, will deliver to Xxxxxx Capital Capital, AmREIT and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Lehman Capital and the Master Servicer a Servicing Officer's Offixxx'x certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the 15th day of March of each year, beginning with July 31March 15, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer Servicer, a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st April 30 of each year, beginning with July 31April 30, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer and the Depositor a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the 28th day of February of each year, beginning with July 31February 28, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer Servicer, a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Interim Servicer, at its own expense, will deliver to Xxxxxx Capital Lehman Brothers Bank, FSB and the Master Servicer a Servicing Xxxxicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Interim Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Interim Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Interim Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15 of each year, beginning with July 31March 15, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st Not later than March 15 following the end of each calendar year, beginning commencing with July the fiscal year ending December 31, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital each Seller, the NIMS Insurer and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the 15th day of March of each year, beginning with July 31March 15, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreements has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

On or before July 31st the last day of February of each year, beginning with July 31March 15, 20022005, the Servicer, at its own expense, will deliver to Xxxxxx Capital the Seller and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, supervision and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital Lehman Brothers Bank, FSB and the Master Servicer a Servicing Xxxvicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 20022001, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement or similar agreements for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On (a) The Servicer shall deliver to the Indenture Trustee, the Securities Administrator and the Sarbanes Certifying Party, on or before July 31st of February 28, each yearyear beginning February 28, beginning with July 3120 , 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing an Officer's certificate statingCertificate, as to each signer thereof, stating that (i) a review of the activities of the Servicer during such the preceding fiscal calendar year and of performance under this Agreement has been made under such officers' officer's supervision, and (ii) to the best of such officers' officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for throughout such year, or, if there has been a default in the fulfillment of all any such obligationsobligation, specifying each such default known to such officer and the nature and status thereof including and the steps action being taken by the Servicer to remedy cure such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Lehman Capital and the Master Servicer a Servicing OfficerXxxxxer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st March 15 of each year, beginning with July 31March 15, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital each Seller (with respect to its related Mortgage Loans), the NIMS Insurer and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. (a) On or before July 31st February 28th of each year, beginning with July 31February 28, 20022004, the Servicer, at its own expense, will deliver to Xxxxxx Capital Seller, the Depositor and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st the last day of February of each year, beginning with July 31February 28, 20022003, the Servicer, at its own expense, will deliver to Xxxxxx Capital Brothers Bank, FSB and the Master Servicer a Servicing Officer's ’s certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' ’ supervision, and (ii) to the best of such officers' ’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Interim Servicer, at its own expense, will deliver to Xxxxxx Capital Brothers Bank, FSB and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Interim Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Interim Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Interim Servicer to remedy such default.

Annual Officer’s Certificate. On or before July 31st of each year, beginning with July 31, 2002, the Servicer, at its own expense, will deliver to Xxxxxx Capital and the Master Servicer a Servicing Officer's certificate stating, as to each signer thereof, that (i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement or similar agreements has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default.
