Common use of Annual Officer’s Certificate Clause in Contracts

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 2006, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulation.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 2006, the Servicer, at its own expense, will deliver to the Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required from an asset or mortgage servicer under applicable law or regulation.

(a) On or before March 15th 15 of each year, beginning with March 15, 2006, the Servicer, at its own expense, will deliver to the Seller, the DepositorNIMS Insurer, the Trustee Trustee, the Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required under applicable law or regulation.

(a) On or before March 15th of each year, beginning with March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required from an asset or mortgage servicer under applicable law or regulation.

(a) On or before March 15th Not later than the last day of February of each year, beginning year commencing with March 15, 2006the year 2004, the Servicer, at its own expense, will deliver to the Seller, the DepositorNIMS Insurer, the Trustee Trustee, the Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th February 28 of each year, beginning with March 15February 28, 20062004, the Servicer, at its own expense, will deliver to the Seller, the DepositorNIMS Insurer, the Trustee Trustee, the Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th of each year, beginning with March 15, 2006, the ServicerServicer shall, at its own expense, will deliver to the Seller, the Depositor, the Trustee NIMS Insurer and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th February 28 of each year, beginning with March 15February 28, 2006, the ServicerServicer shall, at its own expense, will deliver to the Seller, the Depositor, the Trustee NIMS Insurer and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required from an asset or mortgage servicer under applicable law or regulation.

(a) On or before Not later than March 15th 10th of each year, beginning year commencing with March 15, 2006, the year 2006 the Servicer, at its own expense, will deliver to the Seller, the DepositorNIMS Insurer, the Trustee Trustee, the Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required under applicable law or regulation.

(a) On or before March 15th of each year, beginning with March 15, 20062004, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee each Seller (with respect to its related Mortgage Loans) and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 20062004, the Servicer, at its own expense, will deliver to the each Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s 's certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ ' supervision, and (2ii) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before the fifteenth (15th) day of March 15th of each year, beginning with March 15, 20062003, the Servicer, at its own expense, will deliver to the SellerXxxxxx Brothers Bank, the Depositor, the Trustee FSB and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ officer’s supervision, and (2ii) to the best of such officers’ officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 2006, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee Trustee, the Securities Administrator and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulation.

(a) On or before March 15th Not later than the last day of February of each year, beginning year commencing with March 15, 2006the year 2003, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee NIMS Insurer and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th 15 of each year, beginning with March 15, 20062003, the Servicer, at its own expense, will deliver to the SellerLehman Brothers Bank, the Depositor, the Trustee FSB and the Master Servicer (i) a Servicing Officer’s Servicxxx Xxficer's certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ officer's supervision, and (2ii) to the best of such officers’ officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th the last day of February of each year, beginning with March 15February 28, 20062004, the Servicer, at its own expense, will deliver to the SellerXxxxxx Brothers Bank, FSB, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th of each calendar year, beginning with commencing March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) and any Sarbanes Certifying Party, a Servicing Officer’s 's certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ ' supervision, and (2ii) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th the 28th day of February of each year, beginning with March 15February 28, 2006, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) or Sarbanes Certifying Party, a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th February 28th of each year, beginning with March 15February 28, 200620[__], the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

(a) On or before March 15th of each calendar year, beginning with commencing March 15, 2006, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) and any Sarbanes Certifying Party, a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee Trustee, the Securities Administrator and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (iiiii) such other certificates as may be required under applicable law or regulation.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee Trustee, the Securities Administrator and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulation.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s 's certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ ' supervision, and (2) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required from an asset or mortgage servicer under applicable law or regulation.

Annual Officer’s Certificate. (a) On or before March 15th of each year, beginning with March 15, 200620[__], the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulation.

Annual Officer’s Certificate. (a) On or before Not later than March 15th 10th of each year, beginning year commencing with March 15, 2006, the year 2006 the Servicer, at its own expense, will deliver to the Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or or (ii) such other certificates as may be required from an asset or mortgage servicer under applicable law or regulation.

(a) On or before March 15th of each year, beginning with March 15, 20062005, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th the 28th day of February of each year, beginning with March 15February 28, 20062004, the Servicer, at its own expense, will deliver to the Seller, the Depositor, the Trustee and the Master Servicer (i) and any Sarbanes Certifying Party, a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th the last day of February of each year, beginning with March 15February 28, 2006, the Servicer, at its own expense, will deliver to the Seller, the DepositorTrustee, the Trustee Depositor and the Master Servicer (i) a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.

Annual Officer’s Certificate. (a) On or before March 15th the last day of February of each year, beginning with March 15February 28, 20062003, the Servicer, at its own expense, will deliver to the SellerMaster Servicer, the DepositorDepositor and to Xxxxxx Brothers Bank, the Trustee and the Master Servicer (i) FSB a Servicing Officer’s certificate stating, as to each signer thereof, that (1i) a review of the activities of the Servicer during such preceding fiscal year and of performance under this Agreement has been made under such officers’ supervision, and (2ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement for such year, or, if there has been a default in the fulfillment of all such obligations, specifying each such default known to such officers officer and the nature and status thereof including the steps being taken by the Servicer to remedy such default and/or (ii) such other certificates as may be required under applicable law or regulationdefault.
