Common use of Annual Opinion Clause in Contracts

Annual Opinion. On or before March 31st of each calendar year, commencing March 31, 2017, Centurion shall deliver to TRS, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the ownership interest of TRS in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the ownership interest of TRS in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.

Annual Opinion. On or before March 31st of each calendar year, commencing March 31, 2017, Centurion TRS shall deliver to TRSRFC VIII, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the ownership interest of TRS RFC VIII in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the ownership interest of TRS RFC VIII in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.

On or before March 31st of each calendar year, commencing March 31, 20172019, Centurion TRS shall deliver to TRSRFC VIII, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the ownership interest of TRS RFC VIII in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the ownership interest of TRS RFC VIII in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.

On or before March 31st of each calendar year, commencing March 31, 20172019, Centurion the Seller shall deliver to TRSthe Purchaser, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the ownership interest of TRS the Purchaser in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the ownership interest of TRS the Purchaser in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.
