Common use of Annual Opinion Clause in Contracts

Annual Opinion. On or before March 31st of each calendar year, commencing March 31, 2013, the Seller shall deliver to Dryrock Funding, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the security interest of Dryrock Funding in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the security interest of Dryrock Funding in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.

On or before March 31st of each calendar year, commencing March 31, 20132019, the Seller shall deliver to Dryrock Fundingthe Purchaser, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the security ownership interest of Dryrock Funding the Purchaser in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the security ownership interest of Dryrock Funding the Purchaser in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.

On or before March 31st of each calendar year, commencing March 31, 20132019, the Seller TRS shall deliver to Dryrock FundingRFC VIII, with a copy to the Indenture Trustee, an opinion of counsel to the effect that (i) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings is then necessary to perfect the security ownership interest of Dryrock Funding RFC VIII in the Purchased Assets, and (ii) no further action with respect to the recording or filing of any financing statements, any amendments to financing statements, or any other documents or filings will be necessary prior to March 31st of the next calendar year to perfect the security ownership interest of Dryrock Funding RFC VIII in the Purchased Assets or stating what such filings will be necessary prior to such March 31st.
