Common use of Annual Reports on Compliance with Regulation AB Clause in Contracts

Annual Reports on Compliance with Regulation AB. (a) The Servicer shall deliver to the Issuer, each Trustee and the Rating Agencies, on or before the earlier of (a) March 31 of each year beginning March 31, 2008 or (b) with respect to each calendar year during which the Sponsor's annual report on Form 10-K is required to be filed in accordance with the Exchange Act and the rules and regulations thereunder, the date on which the annual report on Form 10-K is required to be filed in accordance with the Exchange Act and the rules and regulations thereunder, certificates from an Authorized Officer of the Servicer (i) containing, and certifying as to, the statements of compliance required by Item 1123 (or any successor or similar items or rule) of Regulation AB, as then in effect, which may be in the form of Exhibit D hereto (the "Certificate of Compliance") and (ii) containing, and certifying as to, the statements and assessment of compliance required by Item 1122(a) (or any successor or similar items or rule) of Regulation AB, as then in effect, which may be in the form of Exhibit E hereto (the "Assessment of Servicing Criteria").

(a) The Servicer shall deliver to the Issuer, each the Indenture Trustee and the Rating Agencies, on or before the earlier of (a) March 31 of each year year, beginning March 31, 2008 2008, or (b) with respect to each calendar year during which the Sponsor's ’s annual report on Form 10-K is required to be filed in accordance with the Exchange Act and the rules and regulations thereunder, the date on which the annual report on Form 10-K is required to be filed in accordance with the Exchange Act and the rules and regulations thereunder, certificates from an Authorized a Responsible Officer of the Servicer (i) containing, and certifying as to, the statements of compliance required by Item 1123 (or any successor or similar items or rule) of Regulation AB, as then in effect, which may be in the form of Exhibit D hereto (the "Certificate of Compliance") effect and (ii) containing, and certifying as to, the statements and assessment of compliance required by Item 1122(a) (or any successor or similar items or rule) of Regulation AB, as then in effect, which may be in the form of Exhibit E hereto (the "Assessment of Servicing Criteria").
