Common use of Annual Servicer's Certificate Clause in Contracts

Annual Servicer's Certificate. The Servicer will deliver to the Rating Agencies, the Trustee, any Agent and any Enhancement Providers on or before March 31 of each calendar year, beginning with March 31, 1992, an Officers' Certificate substantially in the form of Exhibit C stating that (a) a review of the activities of the Servicer during the preceding calendar year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has performed in all material respects its obligations under this Agreement throughout such year, or, if there has been a material default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.

Annual Servicer's Certificate. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.

The Servicer will deliver to the Rating AgenciesOwner Trustee, the Trustee, any Agent Indenture Trustee and any Enhancement Providers each Series Enhancer on or before March 31 April 30 of each calendar year, beginning with March 31April 30, 19922002, an Officers' Certificate substantially in Officer's Certificate, dated as of December 31 of the form of Exhibit C preceding calendar year, stating that (ai) a review of the activities of the Servicer during the such preceding calendar year (or such shorter period) and of its performance under this Agreement was made under the such officer's supervision of the officer signing such certificate and (bii) to the best of such officer's knowledge, based on such review, the Servicer has performed fulfilled in all material respects its obligations under this Agreement throughout such year, or, if there has been a material default in the performance fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder Noteholder by a request in writing to the Indenture Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder Securityholder by a request in writing to the Owner Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder Securityholder by a request in writing to the Owner Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder or Certificate Owner by a request in writing to the Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.

A copy of such certificate may be obtained by any Investor Certificateholder Noteholder by a request in writing to the Indenture Trustee addressed to the Corporate Trust Office.

The Servicer will deliver to the Rating Agencies, the Trustee, any Agent Letter of Credit Bank, and any Enhancement Providers Rating Agency on or before March 31 April 15 of each calendar year, beginning with March 31April 15, 19921989, an Officers' Officer's Certificate substantially in the form of Exhibit C H stating that (a) a review of the activities of the Servicer during the preceding calendar year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has fully performed in all material respects its obligations under this Agreement throughout such year, or, if there has been a material default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.
