Common use of Annual Servicer's Certificate Clause in Contracts

Annual Servicer's Certificate. On or before March 31 of ----------------------------- each calendar year, beginning with March 31, 1997, the Servicer will deliver, as provided in Section 13.5, to the Trustee, any Credit Enhancement Provider and the Rating Agency, an Officer's Certificate substantially in the form of Exhibit D stating that (a) a review of the activities of the Servicer during the twelve- month period ending on December 31 of the preceding calendar year, or for the initial period, from the Closing Date until December 31, 1996, and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such Officer's knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust office.

A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust office.

On or before March 31 of ----------------------------- each calendar year, beginning with March 31, 19971998, the Servicer will deliver, as provided in Section 13.5, to the Trustee, any Credit Enhancement Provider and the each Rating Agency, an Officer's Certificate substantially in the form of Exhibit D C stating that (a) a review of the activities of the Servicer during the twelve- twelve-month period ending on December 31 of the preceding immediately prior calendar year, or for the initial period, from the Closing Date until December 31, 19961997, and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such Officerofficer's knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder Holder by a request in writing to the Trustee addressed to the Corporate Trust officeOffice.

Annual Servicer's Certificate. On or before March 31 15 of ----------------------------- each calendar year, beginning with March 31, 1997commencing in 2007, the Servicer will deliver, as provided in Section 13.513.05, to the Trustee, any Credit Enhancement Provider each Rating Agency and each Series Enhancer entitled thereto pursuant to the Rating Agencyrelevant Supplement, the statement of compliance required under Item 1123 of Regulation AB with respect to the immediately preceding calendar year, which statement will be in the form of an Officer's Certificate substantially in to the form of Exhibit D stating effect that (a) a review of the activities of the Servicer during the twelve- month period ending on December 31 of the such preceding calendar year, or for the initial period, from the Closing Date until December 31, 1996, year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such Officerofficer's knowledge, based on such review, the Servicer has fully performed fulfilled all its obligations under this Agreement throughout such period, preceding calendar year or, if there has been a default in the performance of failure to fulfill any such obligationobligation in any material respect, specifying each such default failure known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder or Certificate Owner by a request in writing to the Trustee addressed to the Corporate Trust officeOffice.
