Annual Servicing Report of Independent Public Accountants; Copies of Reports Available. (a) On or before March 31 of each calendar year, beginning with March 31, 1992, the Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer or the Sellers) to furnish a report (addressed to the Trustee) to the Trustee, the Servicer, each Rating Agency and each Series Enhancer to the effect that they have examined certain documents and records relating to the servicing of Accounts under this Agreement and each Supplement, compared the information contained in the Servicer’s certificates delivered pursuant to Section 3.04(b) during the period covered by such report with such documents and records and that, on the basis of such examination, such accountants are of the opinion that the servicing has been conducted in compliance with the terms and conditions as set forth in Article III, Article IV and Section 8.08 of this Agreement and the applicable provisions of each Supplement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement. (b) On or before March 31 of each calendar year, beginning with March 31, 1992, the Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer or Sellers) to furnish a report to the Trustee, the Servicer, each Rating Agency and each Series Enhancer to the effect that they have compared the mathematical calculations of each amount set forth in the Servicer’s certificates delivered pursuant to Section 3.04(b) during the period covered by such report with the Servicer’s computer reports which were the source of such amounts and that on the basis of such comparison, such accountants are of the opinion that such amounts are in agreement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement. (a) On or before March May 31 of each calendar year, beginning with March 31, 1992commencing in 19[ ], the Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer or the SellersDepositor) to furnish a report (addressed to the Trustee) to the Trustee, the Servicer, Servicer and each Rating Agency and each Series Enhancer to the effect that they have examined certain documents and records relating to the servicing of Accounts under this Agreement and each Supplement, Supplement and compared the information contained in the Servicer’s 's certificates delivered pursuant to Section 3.04(b) during the period covered by such report with such documents and records and that, on the basis of such examination, nothing has come to the attention of such accountants are of the opinion that caused them to believe that the servicing has not been conducted in compliance with the terms and conditions as set forth in Article IIISections 3.02, Article IV 3.04, 3.09, 4.02, 4.03, 4.04, 4.05 and Section 8.08 of this Agreement and the applicable provisions of each Supplement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement. A copy of such report shall be delivered by the Servicer to each Series Enhancer entitled thereto pursuant to the relevant Supplement.
(b) On or before March May 31 of each calendar year, beginning with March 31, 1992commencing in 19[ ], the Servicer shall cause a firm of nationally recognized independent public accountants accounts (who may also render other services to the Servicer or Sellersthe Depositor) to furnish a report to the Trustee, the Servicer, Servicer and each Rating Agency and each Series Enhancer to the effect that they have compared applied certain procedures agreed upon with the Servicer to compare the mathematical calculations of each amount certain amounts set forth in the Servicer’s 's certificates delivered pursuant to Section 3.04(b) during the period covered by such report with the Servicer’s 's computer reports which were the source of such amounts and that on the basis of such agreed upon procedures and comparison, nothing has come to the attention of such accountants are of the opinion that caused them to believe that such amounts are not in agreement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement.such
(c) A copy of each certificate and report provided pursuant to Section 3.04(b), Section 3.05 or Section 3.06 may be obtained by any Investor Certificateholder or Certificate Owner (at the reasonable expense of such Certificate Owner who can establish ownership interest in the Trust) by a request to the Trustee addressed to the Corporate Trust Office.

Such report shall set forth the agreed-upon procedures performed.
