Annual Statement as to Compliance, Notice of Servicer Termination Event. (a) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee, and each Rating Agency, within 120 days after the end of the Servicer's fiscal year (or, in the case of the first such certificate, not later than April 30, 2004), an Officer's Certificate signed by a Responsible Officer of the Servicer, stating that (i) a review of the activities of the Servicer during the preceding 12-month period (or such shorter period in the case of the first such Officer's Certificate) and of the performance of its obligations under this Agreement has been made under such officer's supervision and (ii) to such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such period or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. (b) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee, and each Rating Agency, promptly after having obtained knowledge thereof, but in no event later than two Business Days thereafter, written notice in an Officer's Certificate of any event that with the giving of notice or lapse of time or both would become a Servicer Termination Event under Section 8.01.

(b) The Servicer shall deliver to the Owner Issuer, the Placement Agent, the Trustee, the Indenture TrusteeBackup Servicer, the Security Insurer, the Noteholders, the Collateral Agent, and each Rating Agency, promptly after having obtained knowledge thereof, but in no event later than two (2) Business Days thereafter, written notice in an Officerofficer's Certificate certificate of any event that which with the giving of notice or lapse of time time, or both both, would become a Servicer Termination Event under Section 8.018.1.

The Servicer shall deliver to the Owner TrusteeAgent, the Indenture TrusteeCollateral Agent, and the Custodian, on or before June 30 of each Rating Agencyyear, within 120 days after the end of the Servicer's fiscal year (or, in the case of the first such certificate, not later than April beginning on June 30, 2004)2001, an Officerofficer's Certificate certificate signed by a any Responsible Officer of the Servicer, dated as of the preceding February 28 (or other applicable date), stating that (i) a review of the activities of the Servicer during the preceding 12-12- month period (or such shorter other period in as shall have elapsed from the case Closing Date to the date of the first such Officer's Certificatecertificate) and of the its performance of its obligations under this Agreement has been made under such officer's supervision supervision, and (ii) to such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such period period, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. (b) ii. The Servicer shall deliver to the Owner TrusteeAgent, the Indenture TrusteeCollateral Agent, and each Rating Agencythe Custodian, promptly after having obtained knowledge thereof, but in no event later than two Business Days thereafter, written notice in an Officer's Officers' Certificate of any event that that, with the giving of notice or lapse of time or both time, would become a Servicer Termination Event under Section 8.0113.1 or a Facility Termination Event under Section 14.1.

(a) The Servicer shall deliver to the Owner TrusteePaying Agent, the Indenture Trustee, Backup Servicer and each Rating Agencythe Purchaser, within 120 days after the end of the Servicer's fiscal year (or, in the case of with the first such certificate, not certificate being delivered no later than April 30, 20041998), an Officer's Certificate signed by a Responsible Officer of the Servicer, stating that (i) a review of the activities of the Servicer during the preceding 12-month period (or such shorter period in as shall have elapsed from the case Closing Date to the end of the first such Officer's Certificatefiscal year) and of the performance of its obligations under this Agreement has been made under such officer's supervision and (ii) to such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such period or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. (b) The Servicer shall deliver to the Owner Trustee, the Indenture TrusteeBackup Servicer, and each Rating Agencythe Purchaser, promptly after having obtained knowledge thereof, but in no event later than two Business Days thereafter, written notice in an Officer's Certificate of any event that which with the giving of notice or lapse of time or both would become a Servicer Termination Event under Section 8.016.01.

(a) The Servicer shall deliver to the Owner TrusteePurchaser, the Indenture TrusteeAdministrative Agent, the Lenders, the Backup Servicer and Standard & Poor’s, on or before February 28 of each Rating Agencyyear beginning February 28, within 120 days after the end of the Servicer's fiscal year (or, in the case of the first such certificate, not later than April 30, 2004)2013, an Officer's Certificate signed by a Responsible Officer ’s Certificate, dated as of December 31 of the Servicerpreceding year, stating that (i) a review of the activities of the Servicer during the preceding 12-month period (or such shorter period or, in the case of the first such Officer's Certificatecertificate, such shorter period) and of the its performance of its obligations under this Agreement has been made under such officer's ’s supervision and (ii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such period year (or, in the case of the first such certificate, such shorter period), or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. (b) The Servicer shall deliver to the Owner TrusteeAdministrative Agent, the Indenture TrusteeLenders, the Backup Servicer and each Rating AgencyStandard & Poor’s, promptly after having obtained knowledge thereof, but in no event later than two (2) Business Days thereafter, written notice in an Officer's ’s Certificate of any event that which with the giving of notice or lapse of time time, or both both, would become a Servicer Termination Event under Section 8.0110.1.
