Annual Statement as to Compliance, Notice of Servicer Termination Event. (a) The Servicer shall deliver to the Issuer, the Depositor, the Indenture Trustee, and each Rating Agency, prior to March 31 of each calendar year, beginning with March 31, 2015, an officer’s certificate signed by a Responsible Officer of the Servicer (the “Servicer’s Annual Certification”) in substantially the form of Exhibit B-2. (b) The Servicer shall deliver to the Issuer, the Indenture Trustee, each Rating Agency and the Depositor, promptly after having obtained knowledge thereof, but in no event later than two (2) Business Days thereafter, written notice in an officer’s certificate from a Responsible Officer thereof of any event that is, or with the giving of notice or lapse of time or both would become, a Servicer Termination Event. (c) Prior to March 31 of each calendar year, beginning with March 31, 2015, the Servicer shall deliver to the Issuer, the Owner Trustee and the Administrator and any other Person that will be responsible for signing the certification required by Rules 13a-14(d) and 15d-14(d) under the Exchange Act (pursuant to Section 302 of the Xxxxxxxx-Xxxxx Act of 2002) on behalf of the Issuer with respect to a securitization transaction a certification in the form attached hereto as Exhibit B-3.
