Common use of Annual Statement of Compliance from Servicer Clause in Contracts

Annual Statement of Compliance from Servicer. The Servicer will deliver to the Trustees, the Depositor and each of the Rating Agencies, on or before March 31 of each year commencing March 31, 2007, a statement of compliance required under United States securities laws, including Item 1123 of Regulation AB, with respect to such fiscal year, which statement will include Item 1122 and an Officer’s Certificate of the Servicer (with appropriate insertions) to the effect that (a) a review of the activities of the Servicer during the prior calendar year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects throughout such fiscal year or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such failure known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Noteholder or the Equity Certificateholder by a request in writing to the Indenture Trustee, with respect to any Noteholder, or to the Owner Trustee, with respect to the Equity Certificateholder.
