Annual Statement of Compliance. For so long as the Depositor is filing reports under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), with respect to the Issuer, or until such time as the Underwriters shall cease to maintain a secondary market in the Notes, whichever occurs first, the Depositor will deliver to the Representative (i) the annual statements of compliance furnished to the Indenture Trustee pursuant to Section 8.11(b) of the 2020-B Servicing Supplement, and (ii) the annual independent certified public accountants’ reports furnished to the Indenture Trustee pursuant to Section 8.10 of the 2020-B Servicing Supplement, in each case, as soon as such statements and reports are furnished to the Indenture Trustee; provided, that this covenant may be satisfied by filing such statement or report, as applicable, with the Commission.
