Annual Stockholder Meeting. (a) As soon as practicable, the Company shall take all action necessary in accordance with the Delaware general corporation law and its Charter and By-laws to call, give notice of and convene a meeting of the Company's stockholders to consider and vote upon the approval of the transactions contemplated by this Agreement as required by the rules of the Nasdaq National Market and for such other purposes as may be necessary or desirable.
