Annual Support Funds. In each of Years One through Five, Pepsi shall provide Customer with annual support funds in the amount of Four Thousand Dollars ($4,000), payable to the Customer within sixty (60) days after the signing of this Agreement with respect to Year 1; and within sixty (60) days following commencement of each Year of Years Two through Five, not to exceed five (5) consecutive payments (the “Annual Support Funds”). The Annual Support Funds are earned throughout the Year in which they are paid. In the event Pepsi terminates this Agreement due to the Customer’s failure to cure a breach hereof, the unearned Annual Support Funds will be repaid to Pepsi pursuant to the terms of Section 7(B)(1) herein.

Annual Support Funds. Each Year throughout the Term, Pepsi agrees to provide Customer with annual support funds in the amount of Four Thousand US Dollars ($4,000.00), not to exceed Five consecutive payments (the “Annual Support Funds”). The Annual Support Funds will be paid to Customer within sixty (60) days after the commencement of each applicable Year, except that in the event an Annual Support Funds is payable for Year One, such payment will be made within sixty (60) days of the later of (i) the first day of the Term or (ii) the signing of this Agreement by both parties. The Annual Support Funds are earned throughout the Year in which they are paid. In the event of early termination for any reason other than an uncured material breach by Pepsi, the unearned Annual Support Funds will be repaid to Pepsi pursuant to the terms of Section 8(C) herein.
Annual Support Funds. In each of Years one (1) through five (5), Pepsi agrees to provide Community Unit School District 200 with annual support funds in the amount of Ten Thousand US Dollars ($10,000). The Annual Support Funds will be paid to Community Unit School District 200 within ninety (90) days after the end of each applicable Year. The School District 200 acknowledges and agrees that each Annual Support Funds will be adjusted based on the number of Units purchased from Pepsi and sold throughout the Facilities pursuant to this Agreement during the Year, in the amount of 3,675 cases or “Annual Units Threshold”. Therefore, if during any Year the number of Units purchased from Pepsi falls below the Annual Units Threshold, then the Annual Support Funds payable for that Year will be reduced by a percentage equal to the percentage decrease between the Annual Units Threshold and the actual number of Units sold during such Year. For example, if the total Annual Support Fund is equal $1,000 and the Annual Units Threshold is 500 Units, and during Year 3 the actual Units sold is 250 Units, then the total Annual Support Funds payable at the end of Year 3 will be $500 (reduced by 50%).
Annual Support Funds. The Beverage Provider agrees to provide the City with annual support funds in the amount of Seventy Thousand and 00/100 Dollars ($70,000) per Year for the initial five (5) Years of the Term, as defined in the Annex of Definitions, commencing on February 1st, 2023, through December 31st, 2027 (minus the support funds provided pursuant to the Second Amendment to the Beverage Agreement entered into by the Parties on December 28, 2022). Beverage Provider agrees to provide the City with additional marketing support during the Term in the form of the following: ● Annual Product donations of up to 650 Cases of 12 oz. cans or .5 liter complimentary Product each Year; provided, however, that the City will administer all requests through a central contact so that the customer may prioritize the requests. Customer acknowledges and agrees that the donated Product requests not used/made in any Year shall not be carried over to the subsequent Year. ● As a new partnership incentive, in Year 1 Beverage Provider will sponsor an autograph session with a Kansas City based sports team member Mutually agreed upon location and time to be determined by the City and Beverage Provider and subject to player availability. ● Each Year of the Term, Beverage Provider agrees to provide the City with local event tickets and hospitality with a value of up to Two Thousand, Five Hundred Dollars ($2,500) including, but not limited to, tickets for professional baseball/football games, events at the T-Mobile Center, etc., subject to availability. Such tickets and hospitality will be used by the City for marketing to prospective event/convention organizers and other potential City sponsors. Each Year throughout the Term, Beverage Provider will provide the City with marketing and merchandising support in the amount of Five Thousand and 00/100 Dollars ($5,000) to be used and spent by the Beverage Provider toward mutually agreed upon Beverage Provider branded marketing and merchandise item(s), with the intent of this investment being used to support the success of the City Facilities.   • Support Fees The payment as provided on the applicable Order or on AvePoint’s invoice to Customer is payable prior to the commencement of any services hereunder. In the event of on-site services requested by Customer, Customer agrees to reimburse AvePoint for any and all pre-approved or reasonable and necessary direct expenses incurred by AvePoint for purposes of performing such on-site services (including travel and living expenses).
