Common use of Annual Xxxxxxxx-Xxxxx Act Certification Clause in Contracts

Annual Xxxxxxxx-Xxxxx Act Certification. (a) For so long as a Person is required by Section 302 of the Xxxxxxxx-Xxxxx Act of 2002 (the “Act”) to provide an annual certification, by March 15th of each year, beginning in 2004, an officer of the Servicer shall execute and deliver an Officer’s Certificate to such Person (hereafter, the “Beneficiary”) for the benefit of the Beneficiary and its officers, directors and affiliates, pursuant to which such officer shall certify to those matters substantially as set forth in Exhibit D. (b) The Servicer shall indemnify and hold harmless the Beneficiary and its officers, directors, agents and affiliates from and against any losses, damages, penalties, fines, forfeitures, reasonable legal fees and related costs, judgments and other costs and expenses arising out of or based upon a breach by the Servicer or any of its officers, directors, agents or affiliates of its obligations under this Section 5.6.
