Common use of Annual Xxxxxxxx-Xxxxx Act Certification Clause in Contracts

Annual Xxxxxxxx-Xxxxx Act Certification. (a) For so long as a Person is required by Section 302 of the Xxxxxxxx-Xxxxx Act of 2002 (the “Act”) to provide an annual certification, by March 15th of each year, beginning in 2004, an officer of the Servicer shall execute and deliver an Officer’s Certificate to such Person (hereafter, the “Beneficiary”) for the benefit of the Beneficiary and its officers, directors and affiliates, pursuant to which such officer shall certify to those matters substantially as set forth in Exhibit D.

(a) For so long as a Person is required by Section 302 of the Xxxxxxxx-Xxxxx Act of 2002 (the “Act”) to provide an annual certification, by March 15th of each year, beginning in 2004the year following the related Closing Date, an officer of the Servicer Countrywide shall execute and deliver an Officerofficer’s Certificate certificate to such Person (hereafter, the “Beneficiary”) for the benefit of the Beneficiary and its officers, directors and affiliates, pursuant to which such officer shall certify to those matters substantially as set forth in Exhibit D.E.
