Anti-Corruption Laws and Sanctions. The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or any of their respective directors, officers directors or employeesofficers, or (b) to the knowledge of the Borrower, any agent employee of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, Loan use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower Parent has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the BorrowerParent, its Subsidiaries and their respective officers and employees and employees, to the knowledge of the Borrower Parent its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the BorrowerParent, any Subsidiary its Subsidiaries or any of their respective directors, officers or employees, or (b) to the knowledge of the BorrowerParent, any agent of the Borrower Parent or any Subsidiary its Subsidiaries that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing borrowing of any Loans or Letter issuance of any Letters of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

Anti-Corruption Laws and Sanctions. The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and directors and, to the knowledge of the Borrower Borrower, its directors employees and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Loan or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance in all material respects by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective directors, officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respectsSanctions. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility facilities established hereby, is a Sanctioned Person. No Borrowing or Letter of CreditBorrowing, use of proceeds or other transaction contemplated by this Agreement hereby will violate any Anti-Corruption Law Laws or applicable SanctionsSanctions by Borrower or any other party hereto.

None of (a) the Borrower, any Subsidiary or any of their respective directorsits Subsidiaries or, officers or employees, or (b) to the knowledge of the Borrower, any director, officer, employee, agent or Affiliate of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, of its Subsidiaries is a Sanctioned PersonPerson that is, or is owned or controlled by Persons that are, the subject of any list-based or territorial Sanctions. No Borrowing Loan or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Parent, its Subsidiaries subsidiaries and their respective officers and employees and and, to the knowledge of the Borrower Parent, its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the BorrowerParent, any Subsidiary or of its subsidiaries or, to the knowledge of the Parent, any of their respective directors, officers or employees, is a Sanctioned Person, or (b) to the knowledge of the BorrowerParent, any agent of the Borrower Parent or any Subsidiary subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction Transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

None of (a) the Borrower, any Subsidiary Credit Parties or their Subsidiaries or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any Credit Party or any agent of the Borrower Credit Parties or any Subsidiary of their Subsidiaries that will act in any capacity in connection with or benefit from the credit facility established herebyFacility, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or any other transaction contemplated by this Credit Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing Advance or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing or Borrowing, Letter of Credit, or use of proceeds thereof or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures designed to ensure achieve compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees employees, and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this the Credit Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

Anti-Corruption Laws and Sanctions. The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries Affiliated Persons and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries Affiliated Persons and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary Affiliated Person or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary Affiliated Person that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Borrowingborrowing or Letter of Credit, use of proceeds or other transaction contemplated by this the Credit Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing or Letter of CreditBorrowing, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, Borrower any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Loan or Letter of Credit, use of proceeds or other transaction contemplated by this the Credit Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Such Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance in all material respects by the Borrowersuch Borrower and its directors, its Subsidiaries and their respective directorstrustees, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions; and such Borrower and, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of such Borrower, each of the officers, employees, directors, trustees and agents of such Borrower its directors and agents, are in compliance with Anti-Anti- Corruption Laws and applicable Sanctions in all material respects. None of (a) the such Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the such Borrower, any agent of the Borrower directors, trustees, officers, or employees of such Borrower, or any Subsidiary agents of such Borrower that will act in any capacity in connection with or benefit from the credit facility established Loans made hereby, is a Sanctioned Person. No Borrowing or Letter of CreditLoan, use of proceeds or other transaction contemplated by this Agreement will violate any the Anti-Corruption Law Laws or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit 47 facility established hereby, is a Sanctioned Person. No Borrowing or Letter of CreditAdvance, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement the Transactions will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement hereby will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures reasonably designed to ensure promote compliance by the Borrower, its Subsidiaries and their respective directors, officers, officers and employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respectsrespects and are not knowingly engaged in any activity that would reasonably be expected to result in the Borrower being designated as a Sanctioned Person. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers directors or employeesofficers, or (b) to the knowledge of the Borrower, any agent employee of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, Loan use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.”

None of (a) the Borrower, any Subsidiary or any of their respective directorsits Subsidiaries or, officers or employees, or (b) to the knowledge of the Borrower, any director, officer, employee, agent or Affiliate of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, of its Subsidiaries is a Sanctioned PersonPerson that is, or is owned or controlled by Persons that are, the subject of any list-based or territorial Sanctions. No Borrowing or Letter of CreditBorrowing, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures reasonably designed to ensure compliance by the Borrower, its Subsidiaries the other Group Members and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries the other Group Members and their respective officers and employees and and, to the knowledge of the Borrower Borrower, its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or or, to the knowledge of Borrower, any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.. Section 7.23

No Borrowing or Letter of CreditBorrowing, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

None of (a) the Borrower, any Subsidiary Affiliated Person or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary Affiliated Person that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this the Credit Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance in all material respects by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable SanctionsLaws, and the BorrowerBorrower and its Subsidiaries, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower Borrower, its directors directors, officers, employees and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary Borrower or any of their respective directors, officers or employees, its Subsidiaries or (b) to the knowledge of the Borrower, any director, officer, employee or agent of the Borrower or any Subsidiary of its Subsidiaries that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of CreditBorrowing, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable SanctionsSanctions in all material respects, and the Borrower, its Subsidiaries and and, to the knowledge of the Borrower, their respective officers and employees and to the knowledge of the Borrower its Borrower’s directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any of their respective Affiliates, directors, officers or employees, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Loan or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions. EEA Financial Institutions. No Loan Party is an EEA Financial Institution.

Anti-Corruption Laws and Sanctions. The Each Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the such Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the each Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the such Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the any Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the such Borrower, any agent of the such Borrower or any Subsidiary of such Borrower that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Advance or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

Anti-Corruption Laws and Sanctions. The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or to the knowledge of Borrower or such Subsidiary any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing Advance or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

The Borrower Parent has implemented and maintains in effect policies and procedures designed to ensure compliance by the BorrowerParent, its Subsidiaries subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower. The Parent, its Subsidiaries subsidiaries and their respective officers and employees and and, to the knowledge of the Borrower Parent, its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the BorrowerParent, any Subsidiary or of its subsidiaries or, to the knowledge of the Parent, any of their respective directors, officers or employees, is a Sanctioned Person, or (b) to the knowledge of the BorrowerParent, any agent of the Borrower Parent or any Subsidiary subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law Laws or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of CreditLoan, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.
