Each Loan Party has implemented and maintains in effect policies and procedures designed to ensure compliance by such Loan Party, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and such Loan Party, its Subsidiaries and their respective officers and directors and, to the knowledge of such Loan Party, its employees and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) any Loan Party, any Subsidiary or, to the knowledge of any such Loan Party or Subsidiary, any of their respective directors, officers or employees, or (b) to the knowledge of any such Loan Party or Subsidiary, any agent of such Loan Party or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will violate Anti-Corruption Laws or applicable Sanctions.

None of (a) any Loan Party, any Subsidiary or other Group member or, to the Knowledge of any such Loan Party, any of their respective directors, officers or employees, or (b) to the knowledge Knowledge of any such Loan Party or SubsidiaryParty, any agent of such Loan Party or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will be used directly (or knowingly indirectly) in a manner that will violate Anti-Corruption Laws or or, in any material respect, applicable Sanctions.

Each of the Loan Parties and their respective Subsidiaries is in compliance in all material respects with applicable anti-money laundering and counter-terrorist financing laws and regulations, including applicable provisions of the Bank Secrecy Act, as amended by the Patriot Act. Each Loan Party confirms that it is acting for its own account and not on behalf of a third party. Each Loan Party has implemented and maintains in effect policies and procedures designed to ensure compliance by such Loan Party, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and such each Loan Party, its Subsidiaries and their respective officers and directors and, employees and to the knowledge of such each Loan Party, Party its employees directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) any the Loan PartyParties, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of any such the Loan Party or SubsidiaryParties, any agent of such each Loan Party or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. None of (a) any Loan Party, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of any such Loan Party or Subsidiary, any agent of such Loan Party or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will violate Anti-Corruption Laws or applicable Sanctions. (t) Section 5.01(n) of the Credit Agreement is amended and restated in its entirety as follows:

None of (ai) any Loan Party, any Subsidiary or thereof or, to such Loan Party’s knowledge, any of their respective directors, directors or officers or employees, or (bii) to the knowledge of any such Loan Party or SubsidiaryParty’s knowledge, any agent of such Loan Party’s or such Subsidiary’s respective employees is a Sanctioned Person or organized or resident in a Sanctioned Country. No Loan or use of proceeds contemplated by this Agreement will be used by a Loan Party or any Subsidiary that will act in any capacity in connection with of its Subsidiaries directly or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will to its knowledge indirectly to violate applicable Anti-Corruption Laws or applicable Sanctions.

None of (a) any Loan Party, any Subsidiary or, to the knowledge of any such Loan Party or Subsidiary, any of their respective directors, officers or employees, or (b) to the knowledge of any such Loan Party or Subsidiary, any agent of such Loan Party or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will violate Anti-Corruption Laws or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds, Transaction proceeds or other transaction contemplated by this Agreement or the other Loan Documents will violate any Anti-Corruption Laws Law or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds, Transaction or other transaction contemplated by this Agreement or the other Loan Documents will violate Anti-Corruption Laws or applicable Sanctions."
