Anti-Corruption Laws and Sanctions. Borrower has implemented and maintains in effect policies and procedures reasonably designed to promote compliance by Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and Borrower, its Subsidiaries and to the knowledge of Borrower its officers, directors, employees and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) Borrower, any Subsidiary or, to the knowledge of Borrower or such Subsidiary, any of their respective directors, officers or employees, or (b) to the knowledge of Borrower, any agent of Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person.

Anti-Corruption Laws and Sanctions. Borrower The Company has implemented and maintains in effect policies and procedures reasonably designed to promote ensure compliance in all material respects by Borrowerthe Company, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and Borrowerthe Company, its Subsidiaries and their respective officers and employees and to the knowledge of Borrower the Company its officers, directors, employees directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) Borrowerthe Company, any Subsidiary or, or to the knowledge of Borrower the Company or such Subsidiary, Subsidiary any of their respective directors, officers or employees, or (b) to the knowledge of Borrowerthe Company, any agent of Borrower the Company or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility facilities established hereby, is a Sanctioned Person.

None of (a) the Borrower, any Subsidiary or any of their respective directors or officers, or, to the knowledge of Borrower or such Subsidiarythe Borrower, any of their respective directors, officers employees or employees, or (b) to the knowledge of Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is, or is controlled by, a Sanctioned Person.

None of (a) the Borrower, any Subsidiary or, or to the knowledge of the Borrower or such Subsidiary, Subsidiary any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person.

No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate Anti-Corruption Laws or applicable Sanctions.

No Borrowing or Letter of Credit, use of proceeds of Loans or other Transactions will violate Anti-Corruption Laws or applicable Sanctions.

None of (a) the Borrower, any Subsidiary or, any of their respective officers or, to the knowledge of Borrower or such Subsidiarythe Borrower, any of their respective directors, officers directors or employees, or (b) to the knowledge of Borrower, any agent of Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person.or

Borrower represents and warrants that Borrower has implemented and maintains in effect policies and procedures reasonably designed to promote ensure compliance by Borrower, Borrower and its Subsidiaries and their respective directors, officers, officers and employees and their agents that are controlled by Borrower with Anti-Corruption Laws and applicable Sanctions, and Borrower, Borrower and its Subsidiaries respective officers and employees and to the knowledge of Borrower its officers, directors, employees directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) Borrower, any Subsidiary Borrower or, to the knowledge of Borrower or such Subsidiary, any of their respective directors, officers or employees, or (b) to the knowledge of Borrower, any agent of Borrower Subsidiary or any Subsidiary of their respective directors, officers, employees or agents that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No use of proceeds or other transactions contemplated hereby will violate Anti-Corruption Laws or applicable Sanctions.
