Common use of Anti-Corruption Laws Clause in Contracts

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, its Subsidiaries, have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower hasjurisdictions, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation laws in other jurisdictions and where the Borrower has, and to the Borrower’s knowledge, or any of its Subsidiaries have, does business. The Borrower has instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects in compliance with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in any other relevant jurisdictions and where the Borrower has, and to the Borrower’s knowledge, or its Subsidiaries have, conducts material operations and have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, and, to the extent applicable, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower hasjurisdictions, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower andand its Subsidiaries have, to the Borrower’s knowledge, extent the same are applicable to Borrower or its Subsidiaries, have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions (collectively, the “Anti-Corruption Laws”) and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws. The use of the proceeds of any Loan or Letter of Credit will not violate any such Anti-Corruption Laws.

The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries (a) have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, (b) have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws. No Borrowing or use of proceeds of the Loans will violate the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000 or any other similar anti-corruption legislation in other jurisdictions.

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, has conducted its Subsidiaries, have conducted their businesses business in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, Bribery Act 2010 and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower hasjurisdictions, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000Bribery Act 2010, and other similar applicable anti-corruption legislation laws in other jurisdictions and where the Borrower has, and to the Borrower’s knowledge, or any of its Subsidiaries have, does business. The Borrower has instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to To the best of the Borrower’s knowledgeknowledge after due diligence, the Borrower and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other applicable jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such lawslaws by the Borrower, its Subsidiaries and, to the Borrower’s knowledge, their respective directors, officers and employees.

Anti-Corruption Laws. The Each Borrower and, to the Borrower’s knowledge, and its Subsidiaries, Subsidiaries have conducted their businesses in compliance in all material respects with applicable Sanctions, the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 00000000 and, and to the knowledge of such Borrower, other similar applicable anti-corruption legislation laws in other applicable jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures reasonably designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to the Borrower’s knowledge, and its Subsidiaries, have conducted their businesses Subsidiaries are in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions laws and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have AMERICAS/2021298575.5 instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Each Borrower and, to the Borrower’s knowledge, and its Subsidiaries, respective Subsidiaries have conducted their businesses in material compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000Bribery Act 2010, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures reasonably designed to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and, to Each of the Borrower’s knowledge, its Subsidiaries, the Guarantor and their respective Subsidiaries have (i) conducted their businesses in compliance in all material respects with applicable anti-corruption laws, including the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower has, and to in which the Borrower’s knowledge, its the Guarantor or their respective Subsidiaries have, conduct business and (ii) instituted and maintained policies and procedures designed designated to promote and achieve compliance in all material respects with such laws.

Anti-Corruption Laws. The Borrower and its Subsidiaries, and, to the Borrower’s knowledge, knowledge of any Responsible Officer of any of the Borrower and its Subsidiaries, all directors, officers, employees, agents, affiliates and representatives thereof, have conducted their businesses business in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions and the Borrower hasjurisdictions, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws.

The Borrower andand its Subsidiaries have, to the Borrower’s knowledge, extent the same are applicable to Borrower or its Subsidiaries, have conducted their businesses in compliance in all material respects with the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar applicable anti-corruption legislation in other jurisdictions (collectively, the “Anti-Corruption Laws”) and the Borrower has, and to the Borrower’s knowledge, its Subsidiaries have, have instituted and maintained policies and procedures designed to promote and achieve compliance in all material respects with such laws. The use of the proceeds of any Loan will not violate any such Anti-Corruption Laws.
