Common use of ANTI-PIRATING AND NON-INTERFERENCE COVENANTS Clause in Contracts

ANTI-PIRATING AND NON-INTERFERENCE COVENANTS. Consultant covenants to the Company that while Consultant is engaged as a consultant by the Company hereunder and for the five (5) year period thereafter (the "Non-Solicitation Period"), Consultant will not, for any reason, directly or indirectly: (a) solicit, hire, or otherwise do any act or thing which may induce any Protected Person (as that term is defined in Section 5.8(c) hereof) to terminate his, its or its business relationship with Company, its Subsidiaries and Affiliates, or otherwise interfere with or adversely affect the relationship (contractual or otherwise) of the Company, its Subsidiaries and Affiliates with any then Protected Person; or (b) do any act or thing which may interfere with or adversely affect the relationship (contractual or otherwise) of the Company, its Subsidiaries and Affiliates with any then customer or then Protected Person or induce any such customer or Protected Person to cease doing business with the Company, its Subsidiaries and Affiliates.
