Common use of Anti-Terrorism Laws Clause in Contracts

Anti-Terrorism Laws. No Borrower shall, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming Borrower’s compliance with this Section.

No Borrower Loan Party shall, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower The Loan Parties shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming Borrower’s their compliance with this Section.

Borrower Borrowers shall deliver to Lenders any certification or other evidence reasonably requested from time to time by any Lender Lender, in its sole discretion, confirming Borrower’s Borrowers’ compliance with this Section.

No Borrower shall, until satisfaction in full None of the Obligations and termination of this AgreementCredit Parties shall, nor shall it any of them permit any Affiliate or agent of their respective Subsidiaries to: , (ai) Conduct conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. ; (bii) Deal deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. ; or (ciii) Engage knowingly engage in or on conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, 13224 or the USA PATRIOT Act or any other Anti-Terrorism LawPatriot Act. Borrower Each of the Credit Parties shall deliver to the Agent and Lenders any certification or other evidence reasonably requested from time to time by the Agent or any Lender Lender, in its sole the Agent's reasonable discretion, confirming Borrower’s such Person's compliance with this Section.

Borrower shall deliver to Lenders any certification or other evidence reasonably requested from time to time by any Lender in its sole discretion, confirming Borrower’s compliance with this Section.

No The Borrower shall, until satisfaction in full of the Obligations and termination of this Agreement, nor its Affiliates shall it permit any Affiliate or agent to: comply with all Anti-Terrorism Laws. The Borrower and its Affiliates and agents shall not (ai) Conduct conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving of any contribution of funds, goods or services to or for the benefit of any Blocked Person. , (bii) Deal deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. ; or (ciii) Engage engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Patriot Act or any other Anti-Terrorism Law. The Borrower shall deliver to Lenders the Bank any certification or other evidence requested from time to time by any Lender the Bank in its sole discretion, confirming Borrower’s 's compliance with this SectionSection 7.1.8.

Anti-Terrorism Laws. No Borrower shall, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions publications set forth in the Executive Order No. 1322413324, the USA PATRIOT Patriot Act or any other Anti-Terrorism Law. Borrower shall deliver to Lenders Agent any certification or other evidence requested from time to time by any Lender Agent in its sole discretion, confirming Borrower’s 's compliance with this Section.

No Borrower shallshall not, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving of any contribution of funds, goods or services to or for the benefit of any Blocked Person. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions publications set forth in the Executive Order No. 1322413324, the USA PATRIOT Patriot Act or any other Anti-Terrorism Law. Borrower shall deliver to Lenders Agent any certification or other evidence requested from time to time by any Lender Agent in its sole discretion, confirming Borrower’s compliance with this Section.

Anti-Terrorism Laws. No Borrower shall, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent Subsidiary to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming Borrower’s compliance with this Section.

No Borrower shall, until satisfaction in full of the Obligations Indebtedness and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower Borrowers shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming Borrower’s Borrowers' compliance with this Sectionsection.

The Borrower and its Affiliates and agents shall not (ai) Conduct conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving of any contribution of funds, goods or services to or for the benefit of any Blocked Person. , (bii) Deal deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. ; or (ciii) Engage engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Patriot Act or any other Anti-Terrorism Law. The Borrower shall deliver to Lenders the Bank any certification or other evidence requested from time to time by any Lender the Bank in its sole discretion, confirming Borrower’s 's compliance with this SectionSection 7.

No Borrower or Guarantor shall, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower Borrowers and Guarantor shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming BorrowerBorrowers’ and Guarantor’s compliance with this Section.

Anti-Terrorism Laws. No Borrower shall, until satisfaction in full None of the Obligations and termination of this AgreementCredit Parties shall, nor shall it any of them permit any Affiliate or agent of their respective Restricted Subsidiaries to: , (ai) Conduct conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. ; (bii) Deal deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. ; or (ciii) Engage knowingly engage in or on conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, 13224 or the USA PATRIOT Act or any other Anti-Terrorism LawPatriot Act. Borrower Each of the Credit Parties shall deliver to the Agent and Lenders any certification or other evidence reasonably requested from time to time by the Agent or any Lender Lender, in its sole the Agent’s reasonable discretion, confirming Borrowersuch Person’s compliance with this Section.

Anti-Terrorism Laws. No Borrower shallshall not, until satisfaction in full of the Obligations and termination of this Agreement, nor shall it permit any Affiliate or agent to: (a) Conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving of any contribution of funds, goods or services to or for the benefit of any Blocked Person. (b) Deal in, or otherwise engage in any transaction relating to, any property or interests in property blocked pursuant to the Executive Order No. 13224. (c) Engage in or conspire to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in the Executive Order No. 13224, the USA PATRIOT Act or any other Anti-Terrorism Law. Borrower shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming Borrower’s compliance with this Section.

Borrower Borrowing Agent shall deliver to Lenders any certification or other evidence requested from time to time by any Lender in its sole discretion, confirming each Borrower’s and each of their Affiliate’s or agent’s compliance with this Section.

No Borrower shall, until satisfaction in full Neither any Obligor nor any of the Obligations and termination of this Agreement, nor its Subsidiaries shall it permit any Affiliate or agent to: (a) Conduct conduct any business or engage in any transaction or dealing with any Blocked Person, including the making or receiving any contribution of funds, goods or services to or for the benefit of any Blocked Person. Person that would violate any Anti-Terrorism Law, (b) Deal deal in, or otherwise engage in any transaction relating to, any property assets or interests in property blocked pursuant to the Executive Order No. 13224. , or (c) Engage engage in or on conspire to engage in any transaction that attempts to violate, or evades or avoids, avoids (or has the purpose of evading or avoiding, or attempts to violate, ) any of the prohibitions set forth in the Executive Order No. 13224, 13224 or the USA PATRIOT Act or any other Anti-Terrorism LawPatriot Act. Borrower The Obligors shall deliver to the Agent and Lenders any certification or other evidence requested from time to time by the Agent or any Lender Lender, in its sole reasonable discretion, confirming Borrowereach Obligor’s and its Subsidiaries’ compliance with this Section.
