Common use of Anticorruption Clause in Contracts

Anticorruption. (a) Neither the Company nor any Company Subsidiary (including any of their officers, directors, agents, distributors, employees, or other persons acting on their behalf) has, directly or indirectly, taken any action that would cause the Company or any Company Subsidiary to be in violation of the United States Foreign Corrupt Practices Act of 1977, as amended (“FCPA”), or any other anticorruption or anti-bribery Laws applicable to the Company or any Company Subsidiary (collectively with the FCPA, the “Anticorruption Laws”).

(a) Neither the Company nor any Company Subsidiary (including any None of their officers, directors, agents, distributors, employees, or other persons acting on their behalf) has, directly or indirectly, taken any action that would cause the Company or any of its Subsidiaries or, to the Knowledge of the Company, any Employee, agent, distributor or other Person acting on behalf of the Company Subsidiary to be or any of its Subsidiaries has in the past five years made a violation of the United States U.S. Foreign Corrupt Practices Act of 1977, 1977 (as amended (“FCPA”amended), the U.K. Xxxxxxx Xxx 0000 or of any other anticorruption or anti-bribery Laws or anticorruption Law of any jurisdiction applicable to the Company or any Company Subsidiary of its Subsidiaries (collectively with the FCPA, the “Anticorruption Laws”).
