Common use of Antitrust Approvals Clause in Contracts

Antitrust Approvals. All terminations or expirations of waiting periods imposed by any Governmental Entity necessary for the consummation of the transactions contemplated by this Agreement, including under the HSR Act and any other Antitrust Laws, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law shall have been made or obtained for the transactions contemplated by this Agreement.

Antitrust Approvals. All terminations or expirations of waiting periods imposed by any Governmental Entity governmental or regulatory authority necessary for the consummation of the transactions contemplated by this Agreement, including under the HSR Act and any other Antitrust Lawscomparable regulations in any foreign jurisdiction, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law competition or antitrust authority shall have been made or obtained for the transactions contemplated by this Agreement.

Antitrust Approvals. All terminations or expirations of waiting periods imposed by any Governmental Entity necessary for the consummation of the transactions contemplated by this Agreement, including under the HSR Act and any other Antitrust LawsAct, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law competition or antitrust authority shall have been made or obtained for the transactions contemplated by this Agreement.

All terminations or expirations of applicable (i) waiting periods imposed by any Governmental Entity necessary for the consummation of the transactions contemplated by this Agreement, including specified under the HSR Act and any other or similar domestic or foreign Antitrust Laws, Laws with respect to the Transactions shall have occurred elapsed or been terminated and all other notifications, consents, authorizations and (ii) approvals required under foreign Antitrust Laws with respect to be made or obtained from any Governmental Entity under any Antitrust Law shall the Transaction have been made or obtained for the transactions contemplated by this Agreementobtained.

All terminations or expirations of waiting periods imposed by any Governmental Entity necessary for the consummation of the transactions contemplated by this Commitment Agreement, including under the HSR Act and any other Antitrust Laws, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law shall have been made or obtained for the transactions contemplated by this Commitment Agreement.

Antitrust Approvals. All terminations or expirations of waiting periods periods, if any, imposed by any Governmental Entity governmental or regulatory authority necessary for the consummation of the transactions contemplated by this Agreement, including under the HSR Act and any other Antitrust Lawscomparable regulations in any foreign jurisdiction, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law competition or antitrust authority shall have been made or obtained for the transactions contemplated by this Agreement.

All terminations or expirations of required waiting periods imposed by any Governmental Entity necessary for the consummation of and approvals applicable to this Agreement and the transactions contemplated by this Agreement, including hereby with respect to the waiting period under the HSR Act and Act, including any other Antitrust Lawsextension thereof, or any applicable foreign antitrust law or rule shall have occurred and all other notifications, consents, authorizations and approvals required to be made expired or obtained from any Governmental Entity under any Antitrust Law shall have been made received or obtained for the transactions contemplated by this Agreementterminated.

All terminations Regulatory Approvals or expirations or terminations of waiting periods imposed by (including any Governmental Entity necessary for the consummation of the transactions contemplated by this Agreement, including extension thereof) required to be obtained or to have occurred under the HSR Act and any other under the Antitrust Laws, shall have occurred and all other notifications, consents, authorizations and approvals required to be made or obtained from any Governmental Entity under any Antitrust Law Laws of the jurisdictions listed on Section 8.1(a) of the Seller Disclosure Schedule (the “Regulatory Approvals”) shall have been made obtained or obtained for the transactions contemplated by this Agreementshall have occurred.
