APEX Clearing Corporation. Full Service-Omnibus Execution Copy either party terminates this Agreement pursuant to this sub-section, the party that is enjoined, disabled, suspended, prohibited or otherwise unable to engage in the securities business shall pay the reasonable expenses of the other party in connection with converting and/or closing the Clearing Accounts.
