Common use of Applicability of Plan, Management Stockholder’s Agreement and Sale Participation Agreement Clause in Contracts

Applicability of Plan, Management Stockholder’s Agreement and Sale Participation Agreement. The Option and the shares of Common Stock issued to the Optionee upon exercise of the Option shall be subject to all of the terms and provisions of the Plan, the Management Stockholder’s Agreement and a Sale Participation Agreement, to the extent applicable to the Option and such Shares.

Applicability of Plan, Management Stockholder’s Agreement and Sale Participation Agreement. The Option Options and the shares of Common Stock issued to the Optionee upon exercise of the Option Options shall be subject to all of the terms and provisions of the Plan, the Management Stockholder’s Agreement and a Sale Participation Agreement, to the extent applicable to the Option Options and such Shares.

The Option and the shares of Common Stock Shares issued to the Optionee upon exercise of the Option shall be subject to all of the terms and provisions of the Plan, the Management Stockholder’s Agreement and a Sale Participation Agreement, to the extent applicable to the Option and such Shares. In the event of any conflict or inconsistency between the terms hereof and the terms of the Plan, the terms of the Plan shall be controlling.
