Common use of Applicable and Governing Law and Applicable Regulations Clause in Contracts

Applicable and Governing Law and Applicable Regulations. If a settlement is not reached by the means described in the Private Investor Complaint Policy, all disputes and controversies arising out of or in connection with the Agreement shall be finally settled in court in Cyprus. This Agreement is governed by the Laws of Cyprus. Unless otherwise permitted by the CySEC Rules or any other Applicable Laws and Regulations, nothing in this Agreement shall be taken to exclude or restrict our obligations under the CySEC Rules or any other Applicable Laws, Rules and/or Regulations. Notwithstanding any other provision of this Agreement, in providing Services to the Private Investor the Company shall be entitled to take any action as it considers necessary in its absolute discretion to ensure compliance with the relevant market rules and or practices and all other applicable laws. All transactions on behalf of the Private Investor shall be subject to Applicable Regulations and any other public authorities which govern the operation of the Cyprus Investment Firms, as they are amended or modified from time to time. The Company shall be entitled to take or omit to take any measures which it considers desirable in view of compliance with the Applicable Regulations in force at the time. Any such measures as may be taken and the Applicable Regulations in force shall be binding on the Private Investor. You hereby expressly acknowledge and agree that upon reasonable written notice from us, and at our first request, you will cooperate with the CySEC and any other relevant regulator in relation to the matters covered by this Agreement.
