Applicable Law and Liabilities. This Agreement is executed and delivered in the State of Connecticut and shall be governed by and construed in accordance with the laws of Connecticut. This Agreement shall be subject to all applicable provisions of law, including, without limitation, the applicable provisions of the 1940 Act. To the extent that any provisions herein contained conflict with any applicable provisions of law, the latter shall control.
