Common use of APPLICABLE LAW AND PARTIAL INVALIDITY Clause in Contracts

APPLICABLE LAW AND PARTIAL INVALIDITY. This Agreement has been delivered in the State of Maryland and shall be construed in accordance with the laws of that State. Wherever possible each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement shall be prohibited by or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provisions or the remaining provisions of this Agreement. The invalidity or unenforceability of any provision of any Loan Document to any person or circumstance shall not affect the enforceability or validity of such provision as it may ato other persons or circumstances.
