Common use of Applicable Law and Submission to Jurisdiction Clause in Contracts

Applicable Law and Submission to Jurisdiction. This Agreement and the rights and obligations of the parties under this Agreement shall be governed by and construed and interpreted in accordance with, the law of the State of New York. Any legal action, suit, or proceeding arising out of or in connection with this Agreement shall only be brought in the United States District Court for the Southern District of New York. For these purposes, the Company and the Manager submit to the jurisdiction of such court.
