Applicable Law, Controversies and Venue. Any claim or controversy arising out of this Agreement shall be resolved under Disputes, Section 46 of Exhibit D hereto. This Agreement shall be governed by and construed in accordance with the laws of California. Exclusive venue and jurisdiction shall be vested in Sacramento County, California.
