Common use of Application and Term Clause in Contracts

Application and Term. 1.1 The supply of Products and/or Services by the Supplier shall begoverned by either: (i) a Supply Agreement as specified on the Purchase Order, or (ii) these Purchase Order Terms where no Supply Agreement is specified. 1.2 The Purchase Order Terms are deemed accepted by the Supplierin the following events: (i) the Supplier supplies the Products and/or commences the Services specified in the Purchase Order; or (ii) on the date of issue of the Purchase Order unless the Supplier notifies Purchaser within 5 days of issue of the PurchaseOrder, that it does not accept the Purchase Order Terms, in which case the Purchaser may cancel the Purchase Order. 1.3 The Contract commences on the Commencement Date and willcontinue in force for the Term, unless terminated earlier in accordance with the terms herein.
