Application for Lender Consents. Buyer and Seller acknowledge that the Loan Assumptions may require consent of the Lenders or confirmation by the Lenders (and possibly rating agencies) that the Loan Assumptions are permitted with respect to Buyer (as applicable, the “Lender Consents”). Buyer shall exercise diligent commercially reasonable efforts to promptly supply all information regarding Buyer requested by the Lenders in connection with the Loan Assumptions, to meet all the requirements for such Loan Assumptions, and to consummate the Loan Assumptions in accordance with Lenders’ requirements. Seller shall reasonably cooperate with Buyer in its efforts to consummate such Loan Assumptions, including by providing such information regarding the Property as Lenders may request.
