Common use of APPLICATION; LOCATION Clause in Contracts

APPLICATION; LOCATION. Whenever (a) there exists a dispute whether a Partner is in default under the terms of this Agreement, (b) the Partners disagree and such disagreement materially impairs the ability of the Partnership to develop the Project or otherwise pursue the Partnership's objectives, or (c) the Partners mutually agree to submit any other question, matter, or dispute to arbitration, the provisions of this Article shall apply, provided however that this provision shall not apply to the obligation to contribute to the capital of this Partnership. The location of the arbitration shall be in Sarasota County, Florida.
