Application of Commitment Reductions; Payment of Fees. The Administrative Agent will promptly notify the applicable Lenders of the applicable Facility of any termination or reduction of the Commitments under any Term Loan Tranche under this Section 2.06. Upon any reduction of Commitments under a Facility or a Tranche thereof, the Commitment of each Lender under such Facility or Tranche thereof shall be reduced by such Lender’s ratable share of the amount by which such Facility or Tranche thereof is reduced (other than the termination of the Commitment of any Lender as provided in Section 3.08).

Upon any reduction of unused Commitments under a Facility or a Tranche thereofof any Class, the Commitment of each Lender under of such Facility or Tranche thereof Class shall be reduced by such Lender’s ratable share Applicable Percentage of the amount by which such Facility or Tranche thereof is Commitments are reduced (other than the termination of the Commitment of any Lender as provided in Section 3.083.06).
