Applications for Registration. 2.2.1 You may apply to Manheim to become a Registered Bidder to participate in Sales by completing the online application form (Application). 2.2.2 By submitting an Application to Manheim, You represent and warrant to Manheim that all information provided by You to Manheim is complete and accurate. 2.2.3 Manheim may accept or reject an Application in its absolute discretion by notice to You. If Manheim accepts the application, You become a Registered Bidder for the purposes of this Agreement. 2.2.4 Manheim will require You as a Registered Bidder to provide your credit card details before providing You access to the Online Sales System. You are required to maintain current credit card details while You are a Registered Bidder. 2.2.5 If the Registered Bidder fails to comply with any of the terms and conditions, Manheim reserves the right to be reimbursed for all costs, fees and charges pertaining to an Online Sale. Manheim will apply these costs, fees and charges against the credit card details provided in clause 2.

Applications for Registration. (1) An application for registration of— (a) a forest property agreement; or (b) the variation, revocation or termination of a forest property agreement; or (c) a transaction affecting an interest conferred by a forest property agreement, may be made by a party to the agreement or transaction in a form approved by the Registrar-General. (2) An application under subsection (1)— (a) must be endorsed with a certificate signed by the party applying for registration of the agreement or transaction— (i) stating the name and address of every person whose consent is required under this Act for the agreement or transaction to which the application relates; and (ii) certifying in relation to each of those persons that the required consent has been given in writing or that consent has been dispensed with; and (b) must be endorsed with a certificate signed by a legal practitioner or registered conveyancer— (i) certifying that every consent required under this Act for the agreement or transaction to which the application relates has been given or dispensed with; and (ii) certifying that the application is otherwise correct for the purposes of the relevant registration law; and (c) must be accompanied by— (i) any survey, judgment, or other document the Registrar-General may require; and (ii) the fee required by the regulations. (3) In proceedings relating to a registered forest property agreement, a court may direct the Registrar-General to make a specified variation to, or to cancel the registration of, an instrument or other document registered under this Act and the Registrar-General must, on application by a party to the proceedings, in a form approved by the Registrar-General, comply with the direction. (4) The Registrar-General is entitled to rely on a certificate endorsed on an application and may act on the certificate without further inquiry.

You are required to maintain current credit card details while You are a Registered Bidder. 2.2.5 You acknowledge that Manheim may in its sole and unfettered discretion carry out a Document Verification Service check on personal identifiers supplied by You at any time during or after the registration process through any of Manheim’s third party service providers (DVS Check). 2.2.6 In accepting these terms and conditions, You give consent and authority for Manheim to carry out a DVS Check on Your personal identifiers for the purposes of verifying Your identity or information supplied by You in the Application. 2.2.7 You acknowledge that Manheim is reliant at all times on information provided by You and nothing by way of Manheim conducting a DVS Check limits in any way Your obligation to provide correct and accurate information pursuant to these Terms and Conditions. 2.2.8 In the event a DVS Check results in a failure of matching results between the information supplied by You and the results of the DVS Check, Manheim may in its sole and unfettered discretion exercise its immediate termination rights as set out in clause 7. 2.2.9 If the Registered Bidder fails to comply with any of the terms and conditions, Manheim reserves the right to be reimbursed for all costs, fees and charges pertaining to an Online Sale reasonably incurred by Manheim. Manheim may, apply these costs, fees and charges against the credit card details provided in clause 2.

Applications for Registration. 2.1 The consultation referred to in clause 6.1.2 of this MoU will be in writing and will include the issues, if any, on which the HKMA particularly wishes to seek the SFC’s views. Should the SFC seek to clarify any of the matters included in such consultation or to elicit the HKMA’s views on any relevant matter, it will do so in writing, in which case the HKMA will respond in writing. The parties may decide to hold meetings or otherwise additionally consult. 2.2 The parties will maintain a constant dialogue with each other in respect of any applications referred to the HKMA, with a view to ensuring that:- (a) the consultation process is completed as expeditiously as possible; and (b) the approach adopted in considering an application for registration of an AI is consistent with the approach adopted in considering an application for a licence by a non-AI. 2.3 In general, the parties will work towards completing the consultation process described in paragraph 2.2 within 5 weeks from the day on which the HKMA receives the application package from the SFC.

Applications for Registration pursuant to clause 11.5 and the maintenance of subsequent registrations (as the case may be) will be the responsibility of Prana. Registration Costs will be met by Prana. If Prana fails to meet Registration Costs in respect of any application, the rights granted to it under this clause 11 will lapse and Florey will at its option be entitled to continue to meet such Registration Costs, in which case all Intellectual Property Rights in the subject matter of those applications and subsequent registrations (as the case may be) are assigned (by way of assignment of future Intellectual Property Rights) to Florey, and Prana will have no rights in respect of the same.
