Appointment and Acceptance of the Services Manager. Subject to the terms and conditions of this Agreement, the oversight of the boards of directors of Parent and its subsidiaries and the Applicable Requirements, Parent, on behalf of itself and its subsidiaries, hereby appoints the Services Manager to provide or procure certain Services to or for Parent and its subsidiaries, and the Services Manager hereby accepts such appointment.
