Common use of Appointment and Authorisation Clause in Contracts

Appointment and Authorisation. Each Lender hereby irrevocably (except for a removal under Clause 24.15 (Resignation)) appoints the Agent to act as its agent in connection with the administration of the Facility under the Financing Documents, and irrevocably (except for a removal under Clause 24.15 (Resignation)) authorises the Agent, to take such action and to exercise and carry out such rights, discretions, authorities, powers and duties as are specifically delegated to the Agent in this Agreement, in the Shareholders’ Undertaking Agreement, the Security Agreements and the RWE Solutions AG Guarantee together with such rights, discretions, authorities, powers and duties as are reasonably incidental thereto, provided that the Agent will not commence any legal action or proceedings on behalf of any Lender without such Lenders’ consent. Each Lender hereby relieves the Agent from the restrictions of § 181 BGB in respect of the authority conferred upon it in this Agreement.
