Appointment and Scope. 2.1 The Company hereby appoints the VAR as its non-exclusive value-added reseller to market and resell the Products to Customers in the Territory on the terms of this Agreement. The Company may offer the VAR the right to participate in additional licensing programs, which may require the VAR to accept additional terms.
2.2 The Company reserves the unrestricted right without any liability to the VAR to license, market, distribute and support any Product in the Territory, directly to any Customers or indirectly through any channel, including, but not limited to original equipment manufacturers, channel partners, distributors, on-line sales, retail outlets, systems integrators or other vendors.

2.2 During the term of this Agreement, the VAR undertakes not to purchase the Products from any person other than the Company [(or its authorised distributors for the Company Products)].
2.3 The Company reserves the unrestricted right without any liability to the VAR to license, market, distribute and support any Product in the Territory, directly to any Customers or indirectly through any channel, including, but not limited to original equipment manufacturers, channel partners, distributors, on-line sales, retail outlets, systems integrators or other vendors.
Appointment and Scope. Client hereby appoints U.S. Energy as its agent for managing Client’s energy supplies and to deal with third parties on behalf of Client, in connection with energy-related matters, in U.S. Energy’s capacity as Client’s agent, including, without limitation, the purchase of energy resources in such quantity and at such times as Client may authorize in writing, by electronic communications (e.g., by email), verbally or otherwise (“Energy Procurements”). U.S. Energy is authorized to contract on behalf of Client for the acquisition of energy supply, transportation and distribution. U.S. Energy hereby accepts such appointment and agrees to use commercially reasonable efforts to perform the services required by this Authorization.
Appointment and Scope. Customer appoints Gexa as its Retail Electric Provider (“REP”) for the ESI ID(s) served under this Agreement. Customer authorizes Gexa to: (i) act as Customer’s REP for all purposes; and (ii) provide the services required of a REP including, without limitation, the procurement, scheduling and delivery of electricity throughout the Term to each of the ESI ID(s) in accordance with the terms set forth in this Agreement, including the Terms and Conditions of Service set forth in Attachment A. Customer’s appointment imposes no other duties on Gexa other than those specified in this Agreement and the REP Services Agreement.
Appointment and Scope. 2.1 TiGenix hereby grants to Sobi, including Affiliates, and Sobi, including Affiliates, hereby accepts, the exclusive (subject to clause 3) right to sell, distribute, market, promote and file for pricing and reimbursement of the ChondroCelect Process and the Product (upon the terms and conditions as set out in clause 5) in the Territory, solely for the treatment of the Indication.
2.2 In addition to Sobi’s right to sub-contract rights under the Hospital Agreements, Sobi shall have the right, on the terms and conditions of this Agreement, to sublicense or subcontract to Third Parties the performance of sales, marketing, promotion and filing for pricing and reimbursement in such countries of the Territory where Sobi does not act through its own Affiliates. Any such sublicense or subcontract shall (a) be subject to TiGenix’ prior written approval of the identity of the sublicensee, and (b) be subject to an appropriate written agreement that imposes on any such sublicensee or subcontractor all applicable terms, conditions and obligations under this Agreement, including the reporting, audit, inspection and confidentiality provisions hereunder, and (c) contain a provision prohibiting such sublicensee or subcontractor from further sublicensing and subcontracting and (d) not in any way diminish, reduce or eliminate any of Sobi’s obligations under this Agreement. For the avoidance of doubt, Sobi will remain directly responsible for the acts of its sublicensees and subcontractors, including for all amounts owed to TiGenix under this Agreement.
2.3 Sobi shall not be entitled to actively sell ChondroCelect outside the Territory. The Parties may in the future agree to expand the Territory by mutual agreement. Provided Sobi has the necessary Regulatory Approvals in accordance with clause 10.1.1, Sobi shall have the right to include [***] in the Territory by providing written notice to TiGenix, in which case clause 2.6 shall apply.
2.4 Outside of the scope of this Agreement, Sobi has the intention to evaluate and potentially offer employment to certain commercial staff of TiGenix, who have been working with the Product at TiGenix prior to the Commencement Date of this Agreement, on an individual basis, and TiGenix has no objections against Sobi doing so. Appointment and Scope. 2.1 Pub Owner appoints the Operator as the manager of the operation of the Pub to provide the Services to Pub Owner pursuant to the terms and conditions of this agreement.
2.2 Pub Owner grants the following to the Operator:
2.2.1 authority to manage the Pub; and
2.2.2 a licence (on a non-exclusive basis) to occupy the Pub subject to, and in accordance with, the terms and conditions of this agreement from the Commencement Date. The Operator's right to occupy the Pub shall be further subject to any rights and easements that Pub Owner may grant from time to time over certain parts of the Pub for the benefit of other units in Pub Owner's Property (including, but without prejudice to the generality of the foregoing, rights of access to and from such units across entrance ways, lobbies and staircases in the Pub and all rights, easements, privileges, restrictions, covenants, stipulations and matters of whatsoever nature affecting Pub Owner's Property).

Appointment and Scope. 3.1 Acorn appoints the Partner, on a non-exclusive basis, to make Introductions during the Term upon the terms and conditions of this Agreement, and the Partner accepts such appointment.
3.2 Acorn shall have the right to appoint other persons as introducers for the Services during the Term.
3.3 The Partner shall have no authority to:

3.3.2 enter into or conclude contracts with, any person or company, including the Prospects, for sales of the Services.
