Independent Purchaser Status. Roka shall be an independent purchaser and reseller of Panther Instruments. Roka shall be free to use and resell the Panther Instrument in the Roka Field on such terms as it may, in its sole discretion, determine, including price, returns, credits and discounts.

Distributor shall not act as an agent or legal representative of Halozyme, nor shall Distributor have any right or power to act for or bind Halozyme in any respect or to pledge its credit. Except as expressly set forth herein, Distributor shall be free to resell the Product on such terms as it may, in its sole discretion, determine, including price, returns, credits and discounts. The detailed operations of Distributor under the Agreement are subject to the sole control and management of Distributor.
Independent Purchaser Status. MERCK is an independent purchaser and seller of the PRODUCTS. MERCK shall not act as an agent or legal representative of BIOSITE, nor shall MERCK have any right or power to act for or bind BIOSITE in any respect or to pledge its credit. MERCK shall be free to resell PRODUCTS in the TERRITORY on such terms as it may, in its sole discretion, determine, including, without limitation, price, returns, credits and discounts. The detailed operations of MERCK under this AGREEMENT are subject to the sole control and management of MERCK.

Distributor shall be responsible for all of its own expenses and employees. Distributor shall incur no expense chargeable to Obalon, except, as may be specifically authorized in advance in writing in each case by Obalon, nor shall Distributor have any right or power to act for or bind Obalon in any respect or to pledge its credit. Distributor shall be free to resell the Products in the Territory to the Customers on such terms as it may, in its sole discretion, determine, including, without limitation, price, returns, credits and discounts. The detailed operations of Distributor under this Agreement are subject to the sole control and management of Distributor.
Independent Purchaser Status. Novartis and its Affiliates shall be independent purchasers and resellers of the Products. Novartis and its Affiliates shall be free to use and resell the Products on such terms as each may, in its sole discretion, determine, including price, returns, credits and discounts.

Baxter shall not act as an agent or legal representative of Halozyme, nor shall Baxter have any right or power to act for or bind Halozyme in any respect or to pledge its credit. Except as expressly set forth herein, Baxter shall be free to resell the Product on such terms as it may, in its sole discretion, determine, including price, marketing, advertising, promotion, returns, credits and discounts. The detailed operations of Baxter under the Agreement are subject to the sole control and management of Baxter. Halozyme shall reasonably support Xxxxxx'x sales and promotional activities, including but not limited to, referring to Baxter all orders and inquiries from customers and providing Baxter with any existing marketing materials and documents relating to the marketing authorizations for the Products.
Independent Purchaser Status. Dealer is an independent purchaser and seller of Products. Dealer shall not be considered an agent, employee, partner or legal representative of Xxxxxx for any purpose. Dealer shall be responsible for all of its’ own expenses and employees.

Merck shall not act as an agent or legal representative of Biosite, nor shall Merck have any right or power to act for or bind Biosite in any respect or to pledge its credit. Merck shall be free to resell the Testing Device and the Reader in the Territory for use in the Field on such terms as it may, in its sole discretion, determine, including price, returns, credits and discounts. The detailed operations of Merck under the Agreement are subject to the sole control and management of Merck.
Independent Purchaser Status. Subject to terms and conditions of this Agreement, Iveco (and its respective Affiliate) is authorized to sell and distribute the Products in the Territory in such manner, at such prices and upon such other terms as Iveco (and its respective Affiliate) shall determine from time to time. Iveco (and such Affiliate of Iveco) is an independent purchaser and reseller of the Products. Neither Party shall be considered an agent nor legal representative of the other Party for any purpose. Neither Party is granted or shall exercise the right or authority to assume or create any obligation on behalf of the other Party or otherwise contractually bind the other Party.
