Appointment as Custodian. Subject to the terms and conditions hereof, the Seller, the Trust and the Indenture Trustee (for the benefit of the Noteholders and, to the extent set forth in the Sale and Servicing Agreement, the Certificateholder), as their interests may appear, hereby appoint The First National Bank of Chicago, and The First National Bank of Chicago hereby accepts such appointment, as Custodian to maintain custody of the Receivables, the Contracts and the Receivables Files during such time as each such Person is a Receivables Holder.
