Common use of Appointment as Sub-Adviser Clause in Contracts

Appointment as Sub-Adviser. Subject to and in accordance with the provisions hereof, Manager hereby appoints Sub-adviser as investment sub-adviser to perform the various investment advisory and other services to the Portfolio set forth herein and, subject to the restrictions set forth herein, hereby delegates to Sub-adviser the authority vested in Manager pursuant to the Management Contract to the extent necessary to enable Sub-adviser to perform its obligations under this Agreement.

Appointment as Sub-Adviser. Subject to and in accordance with the provisions hereof, The Manager hereby appoints retains the Sub-adviser Adviser to act as investment sub-adviser for and to perform manage the various investment advisory and other services to the Portfolio set forth herein andFund, subject to the restrictions set forth herein, hereby delegates supervision of the Manager and the Board and subject to the terms of this Agreement; and the Sub-adviser Adviser hereby accepts such employment. In such capacity, the authority vested in Manager pursuant to the Management Contract to the extent necessary to enable Sub-adviser Adviser shall be responsible for the investment management of the Fund. The Sub-Adviser agrees to perform exercise the same skill and care in performing its obligations services under this AgreementAgreement as the Sub-Adviser exercises in performing similar services with respect to other fiduciary accounts for which the Sub-Adviser has investment responsibilities.
