Common use of Appointment as Sub-Advisor Clause in Contracts

Appointment as Sub-Advisor. The Advisor hereby appoints the Sub-Advisor to act as investment advisor for and to manage the Sub-Advisor Assets for each Fund listed on Exhibit A, subject to the supervision of the Advisor and the Board of Trustees of the Trust, and subject to the terms of this Agreement; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor shall exercise that level of judgment required of others in a similar position in rendering its services in accordance with the terms of this Agreement.

Appointment as Sub-Advisor. The Advisor hereby appoints the Sub-Advisor to act as investment advisor adviser for and to manage the Sub-Advisor Assets for each Fund listed on Exhibit AAssets, subject to the supervision of the Advisor and the Board of Trustees of the Trust, and subject to the terms of this Agreement; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor shall exercise that level of its best judgment required of others in a similar position in rendering its the services in accordance with the terms of this Agreementhereunder.

The Advisor Advisor, on behalf of the Client, hereby appoints the Sub-Advisor to act as investment advisor for provide, and to manage the Sub-Advisor Assets for each Fund listed on Exhibit Ahereby accepts such appointment and agrees to provide, sub-advisory services following formation of the Client with respect to the Client Assets, subject to the supervision of the Advisor and the Board of Trustees of the Trust, and subject to on the terms of and conditions set forth in this Agreement; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor shall exercise that level of judgment required of others in a similar position in rendering its services in accordance with the terms of this Agreementprovisions set forth on Annex D hereto are incorporated herein by reference thereto.

The Advisor hereby appoints the Sub-Advisor to act provide the services provided for herein with respect to some or all of the investment portfolio of the Fund as investment advisor for and to manage specified by the Sub-Advisor Assets for each Fund listed on Exhibit AAdvisor, subject to the terms of this Agreement and the supervision of the Advisor and the Board of Trustees of the Trust, and subject to the terms of this Agreement; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor shall exercise that level of judgment required of others in a similar position in rendering its services in accordance with the terms of this Agreementsuchappointment.

The Advisor hereby appoints the Sub-Advisor to act provide the services provided for herein with respect to some or all of the investment portfolio of the Fund as investment advisor for and to manage specified by the Sub-Advisor Assets for each Fund listed on Exhibit AAdviser, subject to the terms of this Agreement and the supervision of the Advisor and the Board of Trustees of the Trust, and subject to the terms of this AgreementBoard; and the Sub-Advisor hereby accepts such appointment. In such capacity, the Sub-Advisor shall be responsible for the investment management of the Sub-Advisor Assets. The Sub-Advisor shall exercise that level of judgment required of others in a similar position in rendering its services in accordance with the terms of this Agreement.

Appointment as Sub-Advisor.
